Certain Services may be governed by additional written agreements, including subscription agreements, service agreements, Business Associate Agreements (BAAs), and other applicable contractual arrangements.
In the event of a conflict, a separately executed agreement will control to the extent of the conflict, subject to any priority provisions in that agreement.

The public website may be accessed for general informational purposes without a clinical Services account.
4. Healthcare Organization Accounts
Healthcare organizations are responsible for administering their authorized use of the platform.
Such responsibilities include:
- Providing accurate organizational information.

- Ensuring appropriate user permissions.
- Maintaining accurate provider and clinic information.
- Notifying Cronic Care of changes affecting authorization.
- Ensuring lawful submission and use of clinical information.

A healthcare organization must not authorize individuals to access patient information unless those individuals have a legitimate and lawful basis for access.
Cronic Care may restrict or suspend access when reasonably necessary to address security risks, unauthorized activity, or violations of applicable agreements.
5. User Accounts, Authentication, and Security
Users may be required to authenticate through secure login systems before accessing clinical Services.
Each authorized user is responsible for maintaining the confidentiality of account credentials and preventing unauthorized account access.
Users agree to:

6. Clinical Decision-Making and Physician Responsibility
Cronic Care is a clinical documentation and clinical intelligence support platform. It is not a substitute for independent professional medical judgment.
Cronic Care does not practice medicine or independently establish diagnoses, prescribe medications, determine treatment, or direct patient care.
The Services are designed to assist qualified healthcare professionals in preparing and reviewing clinical information.
Healthcare professionals remain responsible for:
- Evaluating patients.
- Establishing diagnoses.
- Selecting treatments.
- Reviewing diagnostic findings.
- Determining medical necessity.
- Approving clinical documentation.
- Verifying diagnosis and billing codes.
- Ordering medications, tests, and procedures.
- Making referral and follow-up decisions.
- Complying with professional standards and applicable laws.
All AI-generated clinical documentation and recommendations must be independently reviewed and verified by appropriately qualified healthcare professionals before clinical reliance or use.
Nothing in the Services establishes a physician–patient relationship between Cronic Care and any patient.
7. Artificial Intelligence and Generated Content
Cronic Care uses artificial intelligence, language models, and automated processing technologies to assist in generating clinical documentation and related intelligence.
AI-generated outputs may include:
- Clinical notes.
- Assessment & Plan documentation.
- Suggested diagnosis codes.
- Clinical summaries.
- Diagnostic interpretations or summaries.
- Clinical intelligence reports.
- Revenue-cycle documentation support.
- Follow-up and care coordination information.
AI-generated content is based on the information available to the system and may contain inaccuracies, omissions, inconsistencies, or unsupported statements.
Users acknowledge that:
- AI-generated information may be incomplete or inaccurate.
- Transcription errors may affect subsequent documentation.
- Clinical findings may be misinterpreted or omitted.
- Suggested ICD-10 codes may require correction.
- Report recommendations may not identify every clinically relevant issue.
- AI-generated information may not reflect the latest clinical guidelines.
- Outputs must be assessed within the complete clinical context.
Cronic Care does not guarantee that AI-generated outputs will be error-free, comprehensive, or appropriate for every patient or clinical circumstance.
AI supports clinical professionals; it does not replace them.
8. Physician Review, Editing, and Approval
Cronic Care provides workflows intended to support physician review and approval of generated clinical documentation.
Depending on the Services available, an authorized physician may:
- Access generated documentation.
- Review clinical findings.
- Correct or edit documentation.
- Approve the documentation.
- Initiate or authorize subsequent clinical intelligence workflows.
Approval indicates an action taken through the platform by an authenticated, authorized user. It does not constitute a guarantee by Cronic Care that the underlying content is clinically accurate or complete.
The physician or healthcare organization remains responsible for determining whether the documentation is appropriate for clinical records and related uses.
Users must not misrepresent AI-generated or unapproved documentation as independently verified by a healthcare professional.
9. Clinical Intelligence Agents and Automated Reporting
CareInsights™ may use AI-based processing and automated agents to identify relevant clinical information and recommend or prepare reports.
Such functions may analyze:
- Physician-approved SOAP notes.
- Available patient history.
- Diagnostic findings.
- Medications.
- Symptoms and clinical observations.
- Orders and referrals.
- Prior clinical documentation, when available and authorized.
AI agents may recommend relevant reports based on the clinical information accessible to the platform.
Report recommendations do not constitute diagnoses, medical orders, or independent clinical decisions.
The absence of a recommended report does not establish that a particular clinical issue is absent or that further evaluation is unnecessary.
Healthcare professionals remain responsible for reviewing generated information and determining appropriate clinical actions.
The availability of specific agents, reports, and customization capabilities may vary by subscription or organizational agreement.
10. Clinical Documentation, Coding, and Revenue-Cycle Support
Cronic Care may generate documentation intended to assist with clinical coding, medical necessity, and revenue-cycle processes.
Such information is provided as decision-support and documentation assistance.
Cronic Care does not guarantee:
- Accuracy of suggested diagnosis or procedure codes.
- Eligibility for reimbursement.
- Acceptance of insurance claims.
- Compliance of any particular claim with payer policies.
- Approval of prior authorizations.
- Specific financial or reimbursement outcomes.
Healthcare organizations and their authorized professionals remain responsible for final coding decisions, claim submission, billing compliance, and payer requirements.
Cronic Care does not act as a payer or independently determine reimbursement eligibility.
11. Protected Health Information and HIPAA
Cronic Care recognizes the importance of protecting Protected Health Information (PHI) and electronic Protected Health Information (ePHI).
Where Cronic Care creates, receives, maintains, or transmits PHI on behalf of a HIPAA-covered healthcare organization, Cronic Care generally acts as a Business Associate under HIPAA.

13. AI Model Training and Secondary Uses of Data
Patient information provided for clinical Services must be used only for purposes authorized by applicable law and governing agreements.
Use of identifiable PHI for unrelated model training, advertising, sale of patient information, or independent commercial development is not authorized by these Terms.
Any additional use of PHI requires an appropriate legal basis and any necessary contractual permissions or individual authorizations.
De-identification and subsequent use of information must comply with applicable HIPAA requirements and contractual restrictions.
Any specific commitments regarding model training, retention, or use by third-party AI providers must be established in applicable service agreements and privacy disclosures.
14. Data Ownership and Rights
As between Cronic Care and the healthcare organization, ownership and rights relating to patient records, submitted clinical information, and generated documentation are governed by applicable law and written agreements.
Cronic Care does not acquire ownership of a healthcare organization’s medical records merely because the information is processed through the Services.

Cronic Care may process information as submitted without independently verifying its medical accuracy.
Incomplete, inaccurate, or outdated information may affect the quality of generated documentation and clinical intelligence.
Users must review and correct relevant information before relying on generated outputs.
Cronic Care is not responsible for independently establishing the accuracy of source clinical information provided by users or external systems.
16. Audio Recording and Clinical Transcription

Before recording an encounter, users must obtain any consent required by applicable law and organizational policy.
Users must not record conversations unlawfully or submit recordings they are not authorized to process.

18. Electronic Medical Record Integration
Cronic Care is designed to operate alongside existing electronic medical record (EMR/EHR) systems.
Certain documentation may be made available through supported formats or optional integrations.
